TERMS OF USE

These Terms of Use govern your access and usage of the Dtyle.Ai dashboard and services, operated by M/s. Dtyle.Ai Nuview Private Limited, India ("Dtyle.Ai", "we", "our", "us")—a company that delivers AI-driven computer vision solutions tailored for the Maritime sector. Dtyle.Ai is headquartered at “IIT Madras Research , D3-2, Taramani, Chennai , TamilNadu, India, 600113.”

By accessing our services and dashboard, you ("you", "your", "user", "client") acknowledge and agree to be bound by these Terms of Use, including any additional policies such as our Privacy Policy.

1. GENERAL TERMS

• These Terms of Use along with the Privacy Policy constitute a legally binding agreement.

• We may update or modify these Terms at our discretion, and your continued use implies acceptance.

• Any Service Agreements or Pilot Agreements entered into shall supplement these Terms, and in the event of a conflict, the Agreement shall take precedence.

2. ELIGIBILITY You must be at least 18 years old and legally competent to enter into a binding agreement as per Indian law and applicable maritime laws in your jurisdiction.

3. SERVICE OVERVIEW – MARITIME APPLICATIONS Dtyle.Ai provides real-time, AI-powered video analytics for ports, ships, cargo handling, dockyards, offshore facilities, and other maritime settings. Our platform enhances maritime safety, operational intelligence, and compliance via:

• Real-time incident alerts from CCTV feeds

• Crew and vendor compliance monitoring

• Vessel and cargo motion analysis

• Anomaly detection in restricted zones

4. DATA HANDLING PROCESS

1. Data Collection: For model training and POC deployments, you may provide 2–3 weeks of CCTV footage.

2. Model Training & Testing: Performed securely using Dtyle.Ai’s proprietary algorithms on in-house systems.

3. On-site Deployment: AI models are loaded onto a secured Edge Device that integrates with vessel/port DVR systems.

4. Live Analysis: The Edge Device analyzes video feeds and sends only derived results (not raw video) to AWS cloud for dashboard visualization.

5. Data Storage: Only operational results and limited user credentials (Name, Phone, Email) are stored, as per mutually agreed duration in the Service Agreement.

6. Data Transfer: Clients may access results through:

   • API integrations (automated delivery)

   • Dashboard downloads or CSV (manual)

5. REGISTRATION To access our dashboard, clients must register with valid credentials. Information collected includes:

• Name

• Email ID

• Phone number

All information must be truthful and kept up-to-date.

6. CONTENT & IP The dashboard may show results based on CCTV feed but does not store video data. All software, dashboards, and Edge Device algorithms are proprietary to Dtyle.Ai. You agree not to copy, modify, reverse engineer, or distribute our platform or results without our consent.

7. LIMITATION OF LIABILITY Dtyle.Ai shall not be liable for:

• Connectivity issues or data inaccuracies

• Physical tampering of the Edge Device

• Damages due to your failure to follow usage instructions or data breaches caused by you

We provide services on an "as-is" basis and do not guarantee uninterrupted performance.

8. INDEMNITY You agree to indemnify and hold harmless Dtyle.Ai and its affiliates from any loss or liability resulting from:

• Violation of these Terms

• Unauthorized use of services

• Any third-party claims arising from your actions

9. USER CONDUCT You agree to:

• Provide accurate registration data

• Use services lawfully and as intended

• Not engage in unauthorized access, probing, or scanning of systems

• Not upload harmful, defamatory, or unlawful content

Violation may result in suspension or termination of access.

10. TERMINATION Dtyle.Ai reserves the right to terminate your access at any time for:

• Breach of terms

• Security risks

• Legal requirements

11. INTELLECTUAL PROPERTY All content, models, algorithms, and visual analytics provided through Dtyle.Ai, its dashboard, or Edge Devices remain the sole property of Dtyle.Ai. You agree not to exploit or infringe upon these IP assets.

12. COMMUNICATION By using our services, you consent to receive communications via email or phone regarding operational updates, alerts, or service issues. Any concerns may be addressed by emailing: support@dtyle.ai.

13. FORCE MAJEURE Dtyle.Ai is not liable for any delays or non-performance due to events beyond our control (e.g., storms, piracy, internet failure, strikes).

14. DISPUTE RESOLUTION All disputes will be resolved through arbitration under Indian law, with proceedings conducted in English, seated in Chennai, TamilNadu, India.

15. MISCELLANEOUS

• Severability: Invalid provisions will not affect the rest.

• Entire Agreement: These Terms and the Privacy Policy represent the full agreement.

• Waiver: No delay or failure by Dtyle.Ai to enforce any term shall be deemed a waiver.

By accessing or using the Dtyle.Ai platform, you affirm that you have read, understood, and agreed to abide by these Terms of Use.
